Introduction
These Terms of Use (“Terms”) govern your access to and use of the Wooha platform, including the Wooha web portal and any related mobile applications (“Site”), operated by Wooha Global Ltd. Wooha is a digital commerce infrastructure platform that provides subscription-based access to sourcing, logistics coordination, API integration, and merchant support services. In select engagements, Wooha acts as a centralized procurement facilitator and Merchant of Record, managing payments, refunds, and dispute resolution on behalf of its clients.
These Terms apply to both subscribers (Wooha Members) and non-subscribing users of the platform. By using the Site, you agree to these Terms. If you are not of legal age, you confirm you have obtained consent from a parent or legal guardian.
For Members, these Terms include provisions related to Wooha’s service-based subscription model. Continued use of Wooha’s platform signifies your agreement to all applicable service terms, platform policies, and third-party integration rules outlined herein.
Note: These Terms include a binding arbitration clause that requires disputes to be resolved individually and not through class actions. See below for details.
We reserve the right to amend these Terms at any time. Changes will be posted on the Site, and continued use of the platform following any update constitutes acceptance of the revised Terms.
Intellectual Property; Use of Platform
All content on the Site—including text, visual assets, documents, and software—is the intellectual property of Wooha or its licensors and is protected by international copyright laws. You are granted a limited, non-exclusive license to use the Site solely for business and procurement purposes as a Wooha customer or partner.
No content may be copied, distributed, republished, or used for commercial exploitation outside of your legitimate business transactions with Wooha.
Subscription Service Terms and Conditions
I. Overview
Wooha’s Subscription Service is a tiered service program that allows qualified business users to access exclusive supply chain services, including:
– Real-time API-enabled product feeds
– Access to cost-based pricing tiers
– Logistics coordination via third-party suppliers
– Dedicated account support
These plans are strictly intended for business and commercial use. Wooha does not engage in direct-to-consumer sales. Depending on the subscription plan and service configuration, Wooha may act as the Merchant of Record for certain transactions, providing billing, refund, and post-sale support services on behalf of merchant clients.
Your continued use of the Subscription Service constitutes agreement with these terms and any updates posted.
II. Modifying or Canceling Subscriptions
You may upgrade, downgrade, or cancel your subscription at any time through the account dashboard. Modifications must be completed before 5:00 PM HKT Sunday to take effect for the upcoming billing cycle.
Subscriptions renew automatically unless canceled.
III. Service Availability and Termination
Wooha reserves the right to:
– Amend or discontinue Subscription Services
– Suspend access for users who breach the Terms
– Update pricing structures based on operational or market changes
While Wooha works to maintain service continuity, delays in supplier availability, logistics issues, or integration interruptions may occur. We are not liable for delivery delays or data sync interruptions arising from third-party systems.
Merchant Relationship Disclaimer
Wooha is not a public-facing marketplace or direct-to-consumer retailer. However, in its role as a centralized procurement and fulfillment platform, Wooha may act as the Merchant of Record for certain transactions facilitated on behalf of its clients. This includes issuing invoices, processing payments, and handling post-sale customer service and refund requests.
Wooha enables merchants to operate their own front-end stores while managing backend infrastructure, order flow, and supplier communication. All customer-facing branding, product listings, and sales channels remain the responsibility of the merchant.
